Terms of Service

theUGC (“theUGC”, “we”, “us”) provides a platform that generates UGC-style video ads, images and audio from product links and uploaded assets, and lets you publish that content to connected social accounts. By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

These terms work alongside our Privacy Policy and Refund & Cancellation Policy, both of which form part of this agreement.

You must be at least 18 years old, or the age of majority where you live, to hold an account. You are responsible for the activity that occurs under your account and for keeping your credentials secure. You must provide accurate information and be authorised to use any product, brand or media you upload or generate content from.

Paid plans grant a monthly allowance of credits, which are spent when a tool completes a job. Current plans and prices are published on our pricing page; that page is the authoritative statement of what each plan costs and includes.

• Credits are deducted only for steps that complete successfully. When a required step of a tool fails, the job is marked failed and no credits are deducted.
• Credit allowances refresh each month and do not carry over. The unlimited plan is subject to fair use and to the acceptable-use rules in section 7.
• Subscriptions renew automatically — monthly plans monthly, annual plans every twelve months — at the price then in force, until you cancel. You may cancel at any time from your billing page.
• We may change prices. Changes never apply to a period you have already paid for, and we will tell active subscribers by email before a change affects their renewal.

Payments are processed by Dodo Payments, which acts as the merchant of record for every purchase made through theUGC. That means Dodo Payments — not us — is the seller of record for the transaction: it takes the payment, calculates and remits any applicable sales tax, VAT or GST, and issues your invoice.

Charges appear on your card or bank statement as Dodo Payments or similar rather than as theUGC. Your purchase is also subject to Dodo Payments’ buyer terms. We never see or store your full card details.

Every charge carries a 7-day refund window. If the credits that charge paid for are substantially unused, you get a full refund. You may cancel at any time, and keep access until the end of the period you have already paid for.

The thresholds, the process and the exceptions are set out in full in our Refund & Cancellation Policy, which governs this subject. Nothing in these terms limits any refund or cancellation right you have under the consumer law that applies to you.

You retain ownership of the assets you upload. As between you and us, you own the content the service generates for you, and you are free to use it commercially.

You grant us a limited, non-exclusive licence to host, process, store and transmit your content solely in order to operate the service and publish to the destinations you choose. That licence ends when you delete the content or your account, except for copies we are required to retain by law.

You are solely responsible for the content you publish and for holding the rights to the products, brands, likenesses, music and media you feed into the service. AI models produce output that may resemble output generated for other users, and we cannot and do not guarantee that any generated result is unique or registrable.

You may not use the service to create or distribute content that:

• is unlawful, infringing, defamatory, hateful, or sexually explicit;
• depicts a real person’s face or voice without their permission, or impersonates a real person or brand in a way likely to deceive;
• makes false or unsubstantiated claims about a product, or is otherwise deceptive advertising;
• violates the rules of any platform you connect and publish to; or
• attempts to resell, scrape or automate access to the underlying AI models outside the service.

We may suspend or terminate accounts that break these rules, and may remove content that does. Where we can, we will tell you why first.

The service lets you connect third-party accounts (including TikTok, YouTube and Instagram) to publish content you create. When you connect an account, you authorise us to publish on your behalf at your direction. Your use of those platforms is governed by their own terms and policies as well as these. You may disconnect a connected account at any time, which revokes our access going forward.

The service depends on third-party AI providers. Models can change, be deprecated by their vendors, or become temporarily unavailable, and we may substitute, add or retire the models behind a tool. We aim to keep the service available continuously but do not guarantee uninterrupted operation, and we may take it down for maintenance.

The service is provided “as is”, without warranties of any kind, to the extent the law allows. To the maximum extent permitted by law, theUGC is not liable for any indirect, incidental or consequential damages arising from your use of the service or from content generated or published through it.

Where liability cannot be excluded, our total liability to you is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

You may stop using the service and close your account at any time. We may suspend or terminate an account that breaches these terms, or where required by law. If we terminate your account for reasons other than a breach by you, we will refund the unused remainder of any period you have paid for.

We may update these terms. Material changes will be notified by email to active subscribers before they take effect, and the date at the top of this page records when the terms last changed. Continued use after a change takes effect constitutes acceptance of the revised terms.
